GETTING STARTED
Verity Signals is an SEC Form 4 intelligence platform. We parse every insider trade filed with the US Securities and Exchange Commission, score each purchase by conviction level, and surface the buys worth paying attention to, typically within 2 minutes of the filing appearing on EDGAR.
All data is sourced directly from SEC EDGAR, the official database of US public company filings. Every Form 4 filed by a corporate insider is a legal requirement, not optional disclosure. We parse and index these filings continuously throughout the trading day.
Continuously. Our scraper monitors EDGAR for new Form 4 filings throughout the trading day. New signals are typically available within 2 minutesof the filing appearing on EDGAR. There is no end-of-day batch. Data flows in as insiders file.
SIGNALS & METHODOLOGY
Signals are scored across several factors: the insider's role(C-suite vs. outside director), transaction sizerelative to existing holdings, transaction type(open-market purchase vs. option exercise), whether multiple insiders are buying simultaneously(cluster buying), and historical context for that insider. VERY_STRONG signals require multiple high-conviction factors to align at once.
Insider sells are noisy. Executives sell for a hundred different reasons: tax planning, diversification, a house purchase, a pre-set 10b5-1 plan. None of which necessarily reflect their view on the company's future. Open-market buys are different: you only buy more of something you're already overweight if you genuinely believe it's going up. The academic research consistently confirms this asymmetry.
Cluster buying is when two or more insiders from the same company buy shares in the same short window, or when multiple insiders across the same sector converge on similar purchases simultaneously. One insider buying is informative. Multiple independent assessments reaching the same conclusion is substantially stronger.
Scheduled 10b5-1 plan trades are identified and downweightedin our scoring. A pre-set purchase carries less informational weight than a discretionary open-market buy made months ago, under different market conditions. Discretionary open-market purchases score highest.
